4. Membership and Subscriptions

4.1 Membership Tiers

4.2 Payment and Billing

When you purchase a membership or subscription, you agree to:

• Pay all fees in the currency specified at the time of purchase
• Be responsible for all taxes associated with your purchase

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your subscription tier. We will provide notice of any price changes in advance.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period, and you will continue to have access until that time. We generally do not provide refunds for partial subscription periods, except as required by law or at our sole discretion.

5. Content and Intellectual Property

All content on our platform, including text, graphics, logos, images, videos, software, and other materials (collectively, "Platform Content"), is owned by VibeCodeee or our licensors and is protected by copyright, trademark, and other intellectual property laws. 5.2 User Content

You may post, upload, or submit content to our platform ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media format and through any channels.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not infringe any third-party rights. We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

5.3 Copyright Infringement

We respect intellectual property rights and expect our users to do the same. If you believe that your copyrighted work has been infringed, please contact us with detailed information about the alleged infringement, including the location of the infringing material and proof of your ownership or authorization to act on behalf of the copyright owner.

6. Community Guidelines

Violations of our Community Guidelines may result in warnings, temporary suspension, or permanent termination of your account, at our sole discretion.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

We make no guarantees about the accuracy, reliability, or completeness of any content on our platform.

9.2 Limitation of Liability

9.3 Maximum Liability

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless VibeCodeee and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of another party.

11. Termination

We reserve the right to suspend or terminate your account and access to our Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or our policies
• Fraudulent, abusive, or illegal activity
• Prolonged inactivity
• At your request

Upon termination, your right to use the Services will immediately cease. We may also delete your account and any content associated with it. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally. We will make a good faith effort to resolve any disputes amicably.

12.2 Binding Arbitration

If we cannot resolve the dispute informally, you agree that any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The arbitration will be conducted in accordance with the rules of a recognized arbitration organization.

12.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You expressly waive your right to participate in any class action lawsuit or class-wide arbitration.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VibeCodeee operates, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in that jurisdiction, and you consent to the personal jurisdiction of such courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VibeCodeee regarding the use of our Services and supersede any prior agreements.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of VibeCodeee.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.
